Terms of Service

1. Acceptance of Terms

By accessing or using the SpecsFlow platform (the "Service"), you, the user or the entity you represent ("Clinic", "Subscriber", "You"), agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

SpecsFlow is a B2B Software-as-a-Service (SaaS) platform designed for optometry clinics in the Philippines to manage electronic medical records (EMR), appointments, billing, inventory, optical lab orders, and patient communications.

3. User Obligations and Compliance

• Patient Consent (RA 10173): You represent and warrant that you have obtained explicit, legally valid consent from your patients to collect, store, and process their personal and sensitive health information within our Service, in full compliance with the Philippine Data Privacy Act of 2012.
• Account Security: You are responsible for maintaining the confidentiality of your staff login credentials. You are responsible for all activities that occur under your account.
• Acceptable Use: You agree not to use the Service for illegal purposes, upload malicious code, reverse-engineer the software, or use the integrated SMS/Email systems to send unsolicited spam.

4. Data Ownership and Intellectual Property

• Your Data: You retain full ownership of all patient data, medical records, and business data you input into the Service.
• Our Software: SpecsFlow retains all intellectual property rights to the software, user interface, source code, and underlying technology.

5. Medical and Tax Disclaimers

• No Medical Advice: The Service is strictly an administrative and record-keeping tool. It is not a diagnostic device and is not a substitute for professional medical judgment. The attending licensed Optometrist is solely responsible for all clinical diagnoses, prescriptions, and patient care.
• BIR Compliance: The Service generates "Billing Statements" and internal tracking documents. SpecsFlow is not an accredited Bureau of Internal Revenue (BIR) Computerized Accounting System (CAS). It is the Clinic's sole responsibility to issue valid, BIR-registered physical Official Receipts or Sales Invoices to patients at the point of sale.

6. Fees and Payments

• The Service is billed on a subscription basis as outlined in your chosen plan.
• Payments are processed via our authorized third-party payment gateways (e.g., PayMongo).
• Failure to pay subscription fees may result in the suspension or termination of your account. We will provide a 2 day notice before suspending access.

7. Third-Party Integrations

The Service integrates with third-party providers (e.g., Semaphore for SMS, diagnostic devices, Xero for accounting, HMO portals). We do not control these third parties and are not responsible for the availability, accuracy, or policy changes of these external services.

8. Limitation of Liability

To the maximum extent permitted by Philippine law, SpecsFlow and its founders shall not be liable for any direct, indirect, incidental, special, or consequential damages (including loss of profits, data loss, or medical malpractice claims) arising from your use or inability to use the Service. In no event shall our total liability exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Termination

• You may cancel your subscription at any time.
• We reserve the right to suspend or terminate your account immediately if you breach these Terms or engage in fraudulent activities (such as falsifying HMO claims).
• Upon termination, you will be granted a 30-day window to export your data before it is permanently deleted from our systems.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Davao City, Philippines, to the exclusion of all other courts.
